Primary source: SEC EDGAR
Transaction records come from SEC Form 4, Form 4/A, Form 5, and Form 5/A filings. Each detail page links to the source used for the current record. The link may open a plain-text filing rather than a formatted webpage.
You can independently search the SEC's EDGAR database and review the SEC's guide to insider reports.
What is covered?
The collection begins with companies listed on Nasdaq, the New York Stock Exchange, and NYSE American. It includes public, valid acquisition records from the supported filing types. Purchases, awards, gifts, exercises, and conversions remain distinct.
Company listings may include multiple tickers. These are company-level listings, not an automatic match between every transaction and every ticker. Reporting-owner names and relationships reflect the relevant filing; company names come from the current company record.
What is not covered?
The public transaction dataset does not include sales, net buying or selling, Form 3 holdings, Form 13D or 13G analyses, or ownership balances that are reported without a transaction. It does not establish an individual's total holdings or the allocation of a joint filing.
Coverage does not include every company delisted before collection began. Records for companies collected before a later listing change may remain available. Market prices require a separate source and are never inferred from a filing's reported transaction price.
How fresh are these records?
The most recent filing date is the newest date in a displayed result, not proof that collection is complete. Historical records and corrections may arrive later. We do not publish a guaranteed update interval or a market-wide completion claim.
Refreshing a page reads the current public records. Short-lived caching may delay a newly loaded record. The site does not trigger collection jobs or submit filings.
Verify before drawing a conclusion
Read the security title, transaction code, derivative status, ownership description, and footnotes together. The source filing provides context that a single row cannot capture. These tools organize public information and do not provide investment recommendations.
