What does SEC Form 4 show?
Form 4 reports changes in a reporting owner’s beneficial ownership, including the securities, transaction dates, codes, quantities, prices, and ownership context disclosed in the filing. Read its footnotes and any amendments. The Market Log displays the available acquisition records, not every event in every filing.
Does every acquisition mean an insider bought shares?
No. Acquisitions include purchases, awards, gifts, exercises, conversions, and other ways of receiving securities. We display those categories separately.
Can I see sales or net buying and selling?
Sales are not included in the current public transaction dataset. Sale history and net purchase totals are not available.
Why are the transaction date and filing date different?
The transaction date is when the reported event occurred. The filing date is when the current source filing was submitted. List filters use filing dates; timelines and company summaries use transaction dates.
Why do some amounts have no dollar sign?
The source data does not always specify a currency. We preserve the number and label the currency as unspecified instead of assuming it is U.S. dollars.
Did each owner in a joint filing acquire the full amount?
The data does not allocate a jointly reported transaction among its reporting owners. Their names show their association with the filing, not individual quantities or values.
Does the timeline show every transaction for a company?
No. It shows the transactions loaded on the current list page. Its filters narrow that sample. Company summaries separately cover all matching loaded records within the stated transaction-date window.
Why is a company or date range empty?
No matching records are currently loaded for that selection. Historical coverage is still being built, so an empty result does not prove that no transactions occurred.
Can I treat a reported purchase as an investment signal?
A filing describes an event and its context. It does not establish the reporting owner’s full motivation or predict a stock’s future performance. Review the source filing and other information before reaching a conclusion.
