Filing footnotes & remarks

F1
The Restricted Stock Units vest as follows: 33% vests on the first anniversary of the grant date and the remainder vests as to 8.33% on a quarterly basis (with the vesting dates always being on March 31, June 30, September 30 or December 31, as applicable), in all cases subject to the Reporting Person's continued employment through each applicable vesting date. Vesting of shares does not constitute a sale of securities, but rather a conversion to shares of Issuer's Class A Common Stock by default.
F2
Subsequent to this filing, it is anticipated that a Form 4 will be filed to disclose the sale of shares of Issuer's Class A Common Stock for the specific purpose of paying taxes resulting from the vesting of the Restricted Stock Units.
